Supplier Registration Agreement

The acknowledgement and acceptance of the registration agreement by potential suppliers of Amway (China) Co., Limited (hereinafter referred to as Amway):

       The proprietary right, interpretation right and operation right to the various services supplied on the websites for suppliers of Amway are solely owned by Amway; the registration services to potential suppliers of the websites for suppliers of Amway are only applicable to companies or legal persons who wish to become official suppliers of Amway and the activities of such companies or legal persons must abide by the following agreement otherwise they cannot become the users of the website for suppliers of Amway. The agreement shall become effective immediately after being accepted. Amway keeps the right to update the agreement before notifying the registered users.
1. Copyright
        The graphs, images, characters and program etc on the website are all protected by the Copyright Law of the People’s Republic of China and related laws and regulations as well as international agreement on IP rights which China has joined. Amway enjoys the complete copyright to the contents on the website which cannot be duplicated, adopted in any way or provided to any third party without permission. The information on the website cannot be used for user’s own commercial purpose as offline information without modification of the contents, the contents reserved or without the written permission of Amway. Any user cannot duplicate the HTML documents created by Amway to form the website page without permission. Amway enjoys the copyright to its HTML documents. In the meantime Amway enjoys complete copyright to all the icons, pictures, graphs, color, characters and their composition, layout design, database on the website and enjoys proprietary publishing and utilization right to the information published. Without the authorization of Amway, any user cannot copy, use, republish or offer it to any third party.
2. Publishing of information
        Potential suppliers must provide accurate and valid company information. All the information originally entered will be cited as registered information. A company is obliged to update its registered information after the change of the actual information of potential suppliers. All the registered information entered will be deemed as information which can accurately identify the ID of the potential suppliers. If the information provided by a potential supplier is inaccurate, false, outmoded or invalid, Amway keeps the right to terminate the company’s right to use the registration services for potential suppliers. Potential suppliers will accept the sending of information to their emails from time to time by Amway. Any user cannot use the information sent from the website for potential suppliers of Amway or keep any information which violates applicable laws or regulations; they cannot infringe on other person’s copyrights, trademark rights, trade secret or other IP rights in any way; they cannot infringe on the secret security of individuals or the public; they are forbidden to transmit any illegal, harassing, slandering, abusing, minatory, harmful, vulgar or obscene information. Any user cannot publish any information improper to the website; any user cannot publish any incomplete, inaccurate, false or misleading information; users are totally responsible for the information published by them.
3. The veracity and validity of the information
        Potential suppliers shall be responsible for the veracity and validity of the contents on the website for suppliers of Amway and on other links
4. Use of information
        The information on the website for suppliers can only be used by certified suppliers of Amway. Successful registration of potential suppliers does not imply that Amway will have relevant business with the suppliers. Amway will certify the qualified supplier for itself based on the registration information supplied by potential suppliers. Without the written consent of Amway, any other person cannot use the information on the website for any commercial purpose or commercial use.
5. Alteration and deletion of information
        Other than the person who publishes the information, any visitor cannot alter or delete any information published by other person. However, Amway has the right to keep, alter or delete any improper information based on its own judgment.
6. Security of the information
        Any person cannot damage or attempt to damage the security rule of the website for suppliers of Amway including but not limited to: contact data without authorization or enter server or account without authorization; attempting to examine, scan or test the weakness of the system or website without permission or damage security measures; attempting to interfere with the service to the users and website including but not limited to using overloading, mail bomb or smashing means etc, sending emails of promotion, product advertisement and service; forging TCP/IP data package name or part of the name etc. Damaging system or website may lead to committing of crime. Amway will investigate and interfere with the occurrence of such damaging activity. Amway will also cooperate with law enforcement department to prosecute such user who commits the sabotage.
7. Dispute resolution
       The two parties shall resolve the disputes through friendly consultations. If no resolution is reached after consultation, any party has the right to submit it to Guangzhou Arbitration Committee for arbitration.
8. Exceptions
        Any information entered to the website may be browsed or falsely used by the website visitors. The website shall not be liable for any legal liability for this; the website does not have the right to monitor the website at any time but keeps the right to carry out real-time monitoring. The website shall not be liable for information not published by the website but entered by other party. The users and Amway both agree the various clauses of the above user agreement shall conform to relevant laws of the State. In case of any inconsistence, the clauses of laws shall prevail
